Disagreement with business partner

Hi, I have had a disagrement with my business partner who is joint signatory on the account and 50% shareholder (1 share each out of the initial 100) I am the manging director and she is the company secretery from which she has chosen to resign, the company requires a capital investment which i am prepared to do by way of obtaining the remaining shares but she wont let me, will I be able to after she resigns without needing her approval? Also can she refuse to sign checks, she can view the accounts so she can see the company's position yet she still refuses to sign can she do this?

You are in trouble my friend... It is all depends on the contract you have between you. Usually when creating a legal entity (as company or partnership) there should be a contract binding the relation between the sides. In that contract should be a section regarding to disagreements among the parties, look at your contract. Basically, she can do whatever she wants as long as  it is allowed in the contract.
